The transaction appears structured as a financed acquisition with deferred consideration and security provisions, indicating sellers retained protections pending deal completion. The ownership shift coincided with significant board changes. Alain Ziegler resigned as director March 16, the same day Joshua Leak joined the board. Diane Govaerts stepped down in January while Douglas Briggs departed in April. New Articles of Association adopted April 14 further confirm the restructuring. The moves come as reports emerge of broader upheaval across the European logistics group.
