Hub Group Board Overhaul Follows Accounting Review, Nasdaq Delisting Risk

Hub Group's controlling shareholders have restructured the company's board, removing three directors and appointing four replacements. The new members include lawyers, advisers and former CFO Thomas White. The transportation and logistics company faces a Nasdaq delisting notification after failing to file timely financial reports. An accounting error discovered in February triggered a comprehensive review of financial results spanning 2023, 2024 and the first three quarters of 2025. The company has delayed filings for the fourth quarter and full year 2025, as well as the first two quarters of 2026, with completion of financial restatement expected in the fourth quarter. Chairman and CEO Dave Yeager, who returned to lead operations last month, stated the new directors will strengthen board oversight. Hub Group received a stay from Nasdaq pending an upcoming hearing on the delisting matter.
