Union Pacific Targets Late July Deadline for Norfolk Southern Deal Documents

Union Pacific plans to submit additional materials requested by the Surface Transportation Board for its Norfolk Southern acquisition by late July. The railroad has a 30-day extension option available if needed.

Management characterized STB feedback as skeptical, particularly regarding the Committed Gateway Pricing proposal and its roughly 1% carload exposure. UP maintains the proposal meets the prima facie case requirements and frames CGP as an initial construct subject to revision during the review process.

The railroad is pursuing a measured disclosure strategy to avoid over-providing early information. Synergy identification work continues, including visits to NS intermodal terminals focused on safety, cost and revenue opportunities.

UP expects its automation technology can deploy relatively quickly across a combined network. Initial post-close priorities include aligning key metrics and integrating visualization systems. Fall 2027 represents the earliest possible decision timeline.
